AES Clean Energy, a subsidiary of the AES Corporation (NYSE: AES), is seeking an in-house attorney with three to six years of experience to support the Strategic Development and Project Development groups.

AES Clean Energy is a leader in clean energy development and one of the largest renewable energy IPPs in the country. In 2021, AES combined all of its clean energy business segments, including AES Distributed Energy and sPower, into a division called AES Clean Energy. The AES Clean Energy legal team consists of 22 attorneys and 3 paralegals. This position will be a junior role within the legal group but with significant responsibility and opportunities for growth. This position requires a high level of ownership with the ability to clearly communicate, identify and mitigate risks and manage outside counsel.
Principal Duties and Responsibilities:
Provide advice and counsel to development, permitting, interconnection, and project execution teams for renewable energy and battery storage projects from inception to construction-ready status.
Assist with public policy and regulatory issues and provide counsel in the identification of strategic markets.
Manage the negotiation and drafting of service agreements, development agreements, procurement agreements, permits and applications, etc.
Work closely with real estate counsel and teams on cross-functional agreements.
Achieve and maintain industry knowledge and strategy expertise for solar, wind and battery storage projects.
Desired Experience and Skills:
Strong renewable energy experience; wind energy and/or battery storage experience a plus.
Excellent communication skills, both oral and written.
Ability to work effectively as an individual and as part of a team.
Ability to adapt to a variety of duties and often challenging tasks.
Smart, decisive, organized, methodical, biased toward action.
Three to six years of relevant legal experience, preferably at a major law firm or in-house.

Principal Duties and Responsibilities:
· Provide advice and counsel to commercial and project development teams for renewable energy and battery storage projects from early development through to commercial operation.
· Oversee the negotiation, drafting, and execution of power purchase agreements and other commercial and development contracts.
· Support the commercial and execution teams on ongoing commercial and market issues, with a focus on wholesale power markets.
· Achieve and maintain industry knowledge and strategy expertise.
· Support project teams to prepare and issue requests for offers for energy and related products in emerging markets.
Desired Experience and Skills:
· Three to five years of relevant legal experience, preferably at a major or specialized law firm or sophisticated in-house legal department
· Strong, documented renewable energy transactional experience and negotiation skills.
· Experience negotiating power purchase agreements.
· Experience with renewable energy wholesale markets (ISOs/RTOs) or Federal Energy Regulatory Commission matters a plus.
· Excellent problem-solving ability.
· Excellent communication skills, both oral and written.

AES Clean Energy (AES) is currently seeking a Real Estate Attorney to assist the development efforts as a member of AES’s Legal Team. The Legal Team, in coordination with the Real Estate and Land Acquisition teams, is responsible for development and financing of the AES’s real estate rights related to utility-scale wind, solar, and battery storage projects throughout the United States. The successful candidate will work on the Real Estate team, reporting to Senior Real Estate Legal Counsel. This is a fast-paced role working with internal and external key stakeholders and will provide immediate exposure to all aspects of renewable energy real estate matters.
This position will be based in one of AES Clean Energy offices: Salt Lake City, UT; Louisville, CO; San Francisco, CA; Long Beach, CA; or Richmond, VA. The role requires the ability to work on multiple tasks and projects and may include some travel as needed. The successful candidate will work on a cross functional team with origination, project development, legal, finance, engineering, construction, and outside consultants, attorneys, surveyors, landowners, customers, project stakeholders, and utility companies.
Key Responsibilities:
· Assist in a wide variety of real estate transactional matters, including clearing title policy and survey issues; reviewing title proforma and surveys; preparing various real estate instruments such as purchase or investment agreements, deeds, affidavits and estoppels; coordinating closings by managing closing checklists and deadlines.
· Coordinate with escrow and title officers, surveyors, legal counsel, and AES Real Estate team members.
· Review title reports and create a title curative plans, including fatal flaw analyses on potential land purchases and project acquisitions.
· Review ALTA surveys for conformity with title proformas and policies.
· Assist and provide legal advice in all legal real estate aspects of project development, construction, and financing, including ongoing survey activities, site plan review and buildable area analyses, and negotiations with investors and title companies to obtain suitable lender’s and owner’s title policies.
· Prepare administrative documents such as Master Service Agreements and Task Orders, and arrange for their legal review and execution.
Minimum Qualifications:
· 3-5 years of real estate transactional or title experience
· Background with financial and real property closings, title and survey review, and title insurance policies
· Project and case management skills including a strong attention to detail and an aptitude for managing and prioritizing multiple projects and deadlines
· Active license to practice law required
· Proficient knowledge of Microsoft Office software
· Passion for renewable energy development
· Excellent verbal and written communication skills, including interpersonal communication skills
