Associate Corporate Counsel - Extra Space Storage
As assigned by and under the supervision of Vice President of Legal, provides general support to operations groups, assisting site employees and district managers with legal issues. May also provide general support to corporate departments, including basic contract review and analysis, drafting transactional documents, and counsel on legal, policy, and corporate issues. Anticipates and guards against legal risks.
Primary Responsibilities
Provides analysis and counsel on legal, policy, and corporate issues that may include: protecting intellectual property, mergers and acquisitions, financial offerings, compliance with state lien laws, financial structuring, securities offerings, compliance issues, nondisclosure agreements, outsourcing agreements, real estate issues (ex. easements, eminent domain proceedings, encroachment issues, etc.) and business strategic planning
Provides legal counsel on issues arising from actual and anticipated lawsuits
Anticipates and guards against legal risks
Develops and recommends company policy and position on legal issues
Conducts and coordinates research on a variety of legal issues
Represents the Company or its officials in various legal proceedings and/or manages outside counsel in litigation proceedings
Reviews legal contracts
Prepare and/or review legal pleadings, motions, discovery, stipulations, easements, leases, contracts, etc.
Writes, reviews and edits reports, opinions, correspondence, articles, and other documents
Develops and recommends operating policy and procedural improvements
Provides reports and summaries relating to Company legal issues and trends to Vice President of Legal
Job Specifications
Ability to analyze case law and provide recommendations
Strong writing and drafting skills
Strong interpersonal communication skills
General knowledge of federal, state and local laws
Maintains a professional appearance and provides a positive image to the public
Requires membership of Utah State Bar as an attorney qualified to practice law
Education and Experience
Bachelor’s Degree and Law degree from an accredited U.S. law school
1-3 years of corporate or transactional law experience preferred
