Lucid Software - Sr. Counsel - Securities

Lucid is seeking a strategic and business-minded Corporate & Securities lawyer to join our legal team. As Lucid’s business grows, you will have responsibility for corporate legal matters, including corporate transactions, financing activities, and compliance with applicable securities rules and regulations. You’re an ideal fit for the role if you’re an experienced lawyer with initiative, intellectual curiosity, and a desire to be a significant contributor to the Company's business and corporate objectives. This role will report to the General Counsel and be based in Salt Lake City, Utah. Title will be aligned with level of experience.

Requirements:

  • 10+ years of experience as a corporate securities or corporate transactions attorney (a mix of leading law firm and in-house experience at a public company is preferred).

  • Undergraduate and Juris Doctor from highly regarded schools; excellent academic credentials.

  • Licensed and in good standing to practice law in any US jurisdiction.

  • Detailed understanding of applicable securities laws and significant experience preparing SEC filings for public companies, including an understanding of relevant SEC rules and regulations.

  • Experience preparing 10b5-1 trading plans, processes and public disclosure documents, including SEC periodic reports such as the 10-K, 10-Q, 8-K, annual proxy statements and Section 16 reports/filings.

  • Excellent verbal and written communication skills, including the ability to synthesize and present complex ideas simply and understandably to employees at all levels as well as to Lucid’s management team and board.

  • Hands-on, team-oriented approach with flexibility and positive attitude.

  • Ability to manage multiple projects and meet deadlines with consistently high-quality work product in a fast-paced environment, and capable of dealing with and navigating ambiguity.

  • Good judgement, humble (no task is too big or too small), and willingness to take on a significant working role in the organization.

  • Highly responsive and service-oriented attitude and motivated to elevate Lucid’s legal department to the next level.

Responsibilities:

  • Play a key role in all corporate, financing and M&A transactions, including conducting/facilitating due diligence, drafting agreements and corporate documentation, advising on securities laws matters and ensuring transactions are completed.

  • Assist the GC in providing corporate governance oversight and counsel to management regarding corporate regulatory compliance and risk management in all areas of the business.

  • Assist with preparation and review of board and committee materials; development and management of our corporate governance programs; and advise on all other board related matters.

  • Develop and maintain governance policies, processes and training, including those related to insider trading, corporate governance guidelines, and committee charters, as applicable.

  • Provide advice to the marketing team related to corporate governance and regulatory standards.

  • Provide advice and counsel to leaders in Lucid’s finance, accounting, tax, and investor relations teams.

  • Support international corporate governance, international registration, and management of subsidiary entities.

  • Provide legal advice and support in a wide array of practice areas as needed, including commercial transactions and regulatory compliance. Draft, review and negotiate commercial transactions in the ordinary course of business.
