The Contract Analyst will join Western Governors University’s Legal Department to assist in the review, negotiation, and maintenance of contracts undertaken by WGU and its affiliated organizations. This position will work with WGU in-house counsel, internal stakeholders (“clients”), vendors and other third parties to ensure that contracts provide adequate legal protection and otherwise support the University’s mission to expand access to high-quality education.
Essential Functions and Responsibilities
· Works at the direction of the Contract Administration & Compliance Lead and the Legal Operations Manager
· Analyzes contract terms and conditions to ensure alignment with WGU standards and business goals
· Drafts contracts and related correspondence
· Negotiates with clients and vendors to identify solutions to contract issues
· Proactively communicates status of work projects and completes work in a timely manner
· Responsible for contract intake, workflow, and archiving processes
· Escalates higher-risk issues and disputes to responsible attorneys
· Collaborates with WGU’s Procurement Office to minimize total contract processing time, and to provide a seamless client experience
· Ensures client approval and execution of contracts in accordance with University policy
· Assists clients to monitor and enforce compliance with contract terms, such as service level availability
· Performs preliminary research on contract-related questions as requested

· Proficiency with Microsoft Office including the redlining features in MS Word
Qualifications
Minimum Qualifications:
· Juris Doctorate degree
· Admission to the Utah State Bar, or ability to become admitted within one year from the date of hire
· Minimum 2 years' applicable experience including experience drafting basic contractual instruments
Preferred Qualifications:
· Prior experience in higher education or non-profit
· Experience with contract and/or vendor management systems
· Familiarity with e-signature solutions
