The opportunity

Adobe is looking for a corporate attorney to join its Legal & Government Relations Group.  In this role, you will support Adobe’s finance team with federal securities filings with the SEC and the corporate development team with investments and complex corporate transactions, including mergers, acquisitions and strategic investments.  The successful candidate will be a self-starter with excellent judgment who is able to prioritize and manage multiple competing responsibilities in a fast-paced environment.   You must also enjoy working collaboratively with other members of Legal and the teams we support and be able to communicate effectively at all levels of the organization.  This is a great opportunity to join a supportive, dynamic, friendly legal department in a company which values all employees and offers a competitive salary and attractive benefits package. 

What you’ll do

·         Participate in review and preparation of SEC filings, including the proxy statement and quarterly and annual securities filings.

·         Support Adobe’s corporate development team in investments and large complex transactions, including drafting and negotiation of NDAs, definitive agreements, and other ancillary documents in mergers and acquisitions.

·         Work collaboratively across the organization, including with senior executives, to build consensus and drive projects to completion.

·         Draft and negotiate real estate leasing and purchase and sale agreements. 

·         Advisement and contracting for facilities management, physical security, construction projects and corporate aviation.

·         Support legal aspects of securities offerings and other capital markets and treasury activities.

·         Effectively manage outside counsel on a global basis.

What you need to succeed

·         The applicants must possess a J.D. Degree, and be an active member of the bar (any jurisdiction).

·         3-5 years of related experience at a top law firm or in-house legal department, specifically in federal securities law, with M&A or capital markets experience a plus.

·         Excellent judgment, communication (verbal and written), organizational and interpersonal skills and the ability to work collaboratively across multiple groups and functions.

·         A self-starter who operates independently in a fast-paced, global environment.

·         An approachable, easygoing and flexible manner with a great sense of humor.

·         An attention to detail.

·         Excellent negotiation skills.
