Utah, seeks a lateral attorney to join its IP transactions practice. Applicants should have four to ten
years of relevant law firm experience. The position involves drafting and negotiating licensing and
technology agreements; advising on IP and data privacy issues; and supporting M&A and
financing transactions, including drafting and negotiating IP and data privacy representations and
assisting in general IP due diligence review. Excellent oral, written and interpersonal skills are a
must. JD from a “top 20” U.S. law school or class rank in the top ten percentile highly
recommended.
M&A/Securities

Utah, seeks a lateral attorney to join its M&A/securities transactions practice. Applicants should
have three to six years of relevant law firm experience. The position involves reviewing and
drafting M&A transaction documents; reviewing and drafting public and private securities filings
and disclosures; advising clients on public and private securities matters; and assisting in general
due diligence review. Excellent oral, written and interpersonal skills are a must. JD from a “top
20” U.S. law school or class rank in the top ten percentile highly recommended.
Tax Transactions
Parr Brown Gee & Loveless, PC, a business-centered mid-sized law firm located in Salt Lake City,
Utah, seeks a lateral attorney to join its tax transactions practice. Applicants should have three to
twenty years of relevant law firm experience. The position involves advising on the tax treatment
and consequences of M&A transactions; advising on the tax consequences of owning interests in
corporations, limited liability companies, and other entities; assisting on structuring M&A
transactions; and drafting and negotiating tax representations and assisting in general tax due
diligence review. Excellent oral, written and interpersonal skills are a must.
Litigation Legal Assistant
Summary: Assist attorneys by performing the below stated duties
Essential Duties and Responsibilities include but are not limited to the following:
• File legal pleadings in federal and state courts
• Provide general administrative assistance such as maintaining client files and following through on projects
• Assist with entering attorney time
• Ability to work independently, manage workload, and keep deadlines
