Lucid - Director of Legal, Commercial
Lucid is seeking an experienced and business-savvy lawyer to lead Lucid’s legal commercial function with primary responsibility for supporting our expanding enterprise SaaS sales team. This attorney will be responsible for collaborating with and advising our colleagues in sales and other departments on commercial matters while efficiently growing and managing a team of commercial attorneys. You’re an ideal fit for the role if you are a solution-oriented attorney who understands business objectives and can manage risk under tight deadlines while delivering high quality, actionable, and timely legal advice.
Our Director of Legal, Commercial will be a critical member of our legal team reporting to our General Counsel and located in Salt Lake City.

Requirements:
10+ years combined law firm and in-house legal department experience, preferably as a lead commercial lawyer at a large SaaS or other technology company with experience managing a team of commercial attorneys or contract managers.
Undergraduate and Juris Doctor from highly regarded schools; excellent academic credentials.
Licensed and in good standing to practice law in any US jurisdiction.
Strong principled negotiation capabilities with the ability to balance short-term contract requirements with the long-term objectives of the business to maintain an appropriate level of commercial risk and build a scalable and repeatable contracting process.
Familiarity with a wide range of legal matters pertaining to commercial contracts, including information security, data privacy, and intellectual property matters, with significant experience handling customer facing commercial agreements for enterprise software, SaaS licensing and professional services.
Superb written and oral communication skills, with clear and concise drafting skills and the ability to communicate legal concepts or nuances in a non-legal way to employees at all levels as well as to Lucid’s management team and board.
Hands-on, team-oriented approach with flexibility and positive attitude.
Ability to manage a high volume and wide array of commercial contracts from complex to routine, and meet deadlines with consistently high-quality work product in a dynamic, fast-paced environment, and capable of dealing with and navigating ambiguity.
Sound and practical business judgment, humble (no task is too big or too small), and motivated to elevate Lucid’s legal department to the next level.
Outstanding interpersonal skills, the ability to interface effectively with all business functions throughout the organization with a highly responsive and service-oriented attitude.
Proven success working effectively across business units and internal functions to efficiently resolve complex business and risk management issues while considering many non-legal variables, such as culture, communications, tax, revenue recognition, insurance, finance and other functional areas.
Process oriented with the ability and desire to find and implement efficiencies and improvements.
Responsibilities:
Advise on, draft, negotiate and close a wide range of commercial agreements including customer, vendor, reseller, professional services and partner agreements across the organization.
Advise stakeholders regarding relevant issues and risks, and ensure our agreements reflect our internal corporate policies and processes, as well as regulatory and compliance requirements.
Serve as a contact for legal contract questions within and outside the company.
Provide functional oversight for the commercial team, including hiring, mentoring, and training.
Continuously develop and innovate our commercial function through formulation of positions and policies, standardization and improvement to forms, processes, and systems to maintain high quality, consistent work product that can scale as Lucid grows.
Own the contracting process at Lucid and provide a positive experience with the contracting process for all stakeholders.
Work with outside legal counsel, particularly in foreign jurisdictions, to develop contract processes to support our international subsidiaries and customers.
Advise the leadership team on legal matters critical to the growth of the business;
Contribute to the development and training of other Lucid teams and departments to drive efficiencies in the commercial function.
Anticipate legal issues or risks and build the necessary processes and systems to address them.
Assess and monitor contracts to determine risk levels and advise on risk mitigation strategies; responsible for ensuring Lucid’s contract repository is accurate and up to date.
Develop exceptional relationships with Lucid’s sales leadership; develop and implement cross-functional projects to drive revenue and the efficient use of legal resources.
